Terms of Service

Effective June 9 2025


1 Acceptance of Terms

By accessing or using any website, mobile experience, event registration page, donation form, or other service provided by Tennessee Bitcoin Alliance (“TNBTC,” “we,” “our,” or “us”) that links to these Terms of Service (collectively, the “Services”), you (“you” or “User”) agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.


2 Eligibility & Organizational Status

TNBTC is a Tennessee-chartered social-welfare organization recognized as tax-exempt under Internal Revenue Code §501(c)(4). You must be at least 18 years old—or the age of majority in your jurisdiction—to create an account, make a donation, or otherwise interact with our Services that require contractual capacity.


3 Description of Services

TNBTC promotes the adoption and responsible use of Bitcoin and sound-money principles in Tennessee through advocacy campaigns, educational resources, community events, and related member benefits. We may modify or discontinue any aspect of the Services at any time without prior notice.


4 User Conduct

You agree to use the Services only for lawful purposes. Without limitation, you will not:

• infringe or misappropriate intellectual-property or privacy rights;

•upload, post, or transmit content that is illegal, defamatory, obscene, or harassing;

• introduce malware, interfere with security features, or attempt unauthorized access to any system;

• impersonate any person or entity or misrepresent your affiliation with TNBTC;

• solicit funds or personal information from other users for non-TNBTC purposes.

We reserve the right—but have no obligation—to monitor, moderate, or remove any content and to suspend or terminate users who violate these Terms.


5 Donations & Payments

All contributions are voluntary and non-refundable unless otherwise required by law.

Donations processed online are handled by PCI-DSS-compliant third-party payment processors.

Recurring contributions may be cancelled via your account settings or by e-mailing support@tnbitcoinalliance.org at least three business days before the next scheduled charge.


6 Intellectual Property

All content in the Services—including text, graphics, logos, and software—is owned by or licensed to TNBTC and is protected by U.S. and international intellectual-property laws. You may display and print material for personal, non-commercial use, provided you do not remove proprietary notices. Any other use requires prior written permission from TNBTC.


7 User-Generated Content

If you submit or post content (“User Content”) through the Services, you:

• grant TNBTC a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display that content in connection with our mission;

• represent that you own or have the rights necessary to grant this license;

• understand that your content may become publicly viewable and that you bear sole responsibility for it.


8 Third-Party Links & Services

The Services may contain links to third-party websites or integrate third-party tools. TNBTC does not control or endorse such sites or services and is not responsible for their content, privacy practices, or terms. Visiting any third-party resource is at your own risk.


9 Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TBA MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.


10 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TNBTC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).


11 Indemnification

You agree to indemnify, defend, and hold harmless TNBTC and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services or violation of these Terms.


12 Governing Law & Venue

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Davidson County, Tennessee, and you consent to personal jurisdiction there.


13 Changes to These Terms

We may update these Terms from time to time. The “Effective” date will reflect the latest revision. Continued use of the Services after any modification constitutes acceptance of the revised Terms.


14 Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to TNBTC or other users. Sections 6–12 will survive any termination.
